This Artist Agreement ("Agreement") is a binding legal agreement between you, the artist or authorized representative of the artist ("You") and Audiojelly.com ("Audiojelly") owned by Audiojelly Ltd, regarding the use and distribution of Your materials through the site Audiojelly.com. The term "You" or "Your" refers to an individual, representing yourself, or acting as legal representative of a group or entity, if applicable. You shall retain all rights to materials provided by You hereafter, including copyrights.

1. Ownership rights. You affirm that all materials You submit to Audiojelly.com are Your property or You have express written permission from the owner of those copyrights and materials. You retain all rights to Your submitted materials.

2. The Artist grants Audiojelly.com non-exclusive rights to materials throughout the Site in consideration for royalties on any downloads purchased (see below for royalty rates). This includes, but is not limited to sound recordings, audiovisual works of Your vocal or musical performances, biographical information, likeness, trademarks, trade names, and any other text or material provided by You to Audiojelly.com.

3. Termination of Services. At any time you may cease to grant Audiojelly.com rights to any of Your uploaded material by either deleting your content within your administration log in area or by emailing support@audiojelly.com requesting us to delete your content for you.

4. Copyright/Ownership Disputes. In the case of copyright or ownership disputes, Audiojelly.com recommends that disputing parties resolve issues directly. Upon discovery of infringement or copyright violations, Audiojelly.com will remove all materials in violation. Audiojelly.com reserves the right to decide whether to terminate the user's account.

5. The Artist acknowledges there are no samples contained in any of the tracks that Audiojelly.com will be held liable for.

6. Royalty Rates. Royalties at the rate of 80% (subject to Value Added Tax ("VAT") on purchases within the UK and EEC) will be paid to artists quarterly, with payment distributions in April, July, October and January. Artist may choose to be paid by cheque or through Paypal. Within the Artists own administration log in area, download sales can be monitored in real time.

7. Audiojelly.com approves accounts electronically, among other methods; it is inconceivable that all errors or inappropriate material will be reviewed by Audiojelly.com. It is Your responsibility to adhere to all copyright laws as well as checking Your materials for errors, violations and unlawful obscenity. Illegal and/or unauthorized uses of the Site, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of the Site will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress. Audiojelly.com reserves the right to make changes to this Agreement at any time without prior notice or warning.
